These Terms of Service ("Terms") are a legal agreement between you and Meridian Rewards Group, LLC ("Meridian," "we," "us," or "our") and govern your access to and use of meridianrewardsgroup.com, the Meridian organization portal, recipient booking pages, and any related services (collectively, the "Service"). By creating an account, registering an organization, redeeming a travel package, or otherwise using the Service, you agree to be bound by these Terms.

1. Who can use the Service
The Service is intended for businesses, nonprofits, charities, event organizers, and other organizations that want to use travel experiences as employee rewards, donor recognition, charity-auction items, or client gifts, and for the individual recipients those organizations send to us. By using the Service you represent that you are at least 18 years old and, if you are using it on behalf of an organization, that you have the authority to bind that organization to these Terms.
The Service is operated from the United States. If you access it from elsewhere you do so on your own initiative and are responsible for compliance with local law.
2. Accounts and organizations
When you register an organization at /register, we create an active organization profile and an admin user tied to the email address you provide. You are responsible for:
- Keeping the email address current and accessible.
- Choosing a strong password and keeping your sign-in credentials confidential.
- Everything that happens under your account or under any team member you invite.
Notify us immediately at hello@meridianrewardsgroup.com if you believe an account has been compromised. We may suspend or close any account that we reasonably believe is being used in violation of these Terms.
3. The travel packages
The Service offers curated travel packages — resort stays, villa rentals, excursions, and similar experiences — that you can deploy through your own program (an auction, a sales incentive, a donor gift, etc.). All packages are:
- Subject to availability and blackout dates set by us and our suppliers. Travel must typically be booked within the validity window communicated when the package is unlocked, and dates are confirmed on a first-come, first-served basis.
- Net of taxes, fees, and incidentals unless we expressly state otherwise. The recipient is responsible for resort fees, taxes, gratuities, transportation to and from the destination, and any upgrades they select.
- Non-transferable once booked, except as we permit in writing.
Pricing displayed in the organization portal applies only after Meridian has unlocked a package for your organization. Prices, inventory, and partners may change at any time.
4. Consignment and payment
Unless we agree otherwise in writing, packages are provided to organizations on a consignment basis: you do not pay Meridian for a package until your organization sells, awards, or otherwise deploys it. If a package is not used during your event or campaign, you owe nothing for that package.
Once a package is sold or awarded, Meridian will issue an invoice. Invoices are due net 30 from the issue date. We may charge interest on past-due balances at the lesser of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs.
5. Recipients and bookings
When your organization gives a package to an end-traveler ("recipient"), the recipient receives a unique booking link. To book travel, the recipient will provide identifying and travel information directly to Meridian. By distributing a package, you confirm that the recipient has agreed to receive it and that you have the right to share their email address with us for fulfillment.
Recipients are bound by the booking, cancellation, and conduct policies of the underlying suppliers (resorts, hotels, charter operators, etc.) in addition to these Terms. Failure to follow those policies, no-shows, late cancellations, and damages may result in forfeiture of the package or charges billed to the recipient or your organization.
6. Acceptable use
You agree that you will not, and will not permit anyone using your account to:
- Resell, sublicense, repackage, or auction Meridian packages to the general public outside the program for which they were issued, except in the context of a bona fide charity or fundraising event your organization is operating.
- Use the Service to facilitate fraud, money laundering, sanctions evasion, or any unlawful activity.
- Submit false or misleading information about an organization, recipient, or program.
- Reverse-engineer, scrape, or systematically extract data from the Service except as expressly permitted by us in writing.
- Interfere with or disrupt the Service, attempt to gain unauthorized access to it, or probe it for vulnerabilities outside a coordinated security review.
- Use the Service to send unsolicited commercial communications.
7. Third-party suppliers
Meridian curates, brokers, and concierges travel — but the actual lodging, flights, ground transport, activities, and other services are provided by independent third-party suppliers. We are not the operator of those services and are not liable for their acts, omissions, or independent decisions. Their own terms, cancellation policies, and rules apply to your stay or activity.
8. Intellectual property
The Service, including the Meridian Rewards Group brand, the website, the portal interfaces, package descriptions, photography, and supporting materials, is owned by Meridian or its licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your own internal program — nothing more.
You may not remove our marks from any deliverable we provide unless we agree in writing. If we co-brand a deliverable with your organization's name or logo, you grant us a limited license to use that mark for the purpose of producing and supporting that deliverable.
9. Disclaimers
Except as we expressly state in a written agreement signed by an authorized Meridian representative, the Service is provided "as is" and "as available." To the maximum extent permitted by law, Meridian disclaims all warranties, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that any specific package will be available on any specific date, or that pricing displayed will remain unchanged.
10. Limitation of liability
To the maximum extent permitted by law, Meridian and its affiliates, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, or business interruption arising out of or related to these Terms or your use of the Service, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the total amount your organization paid Meridian for the package giving rise to the claim, or (b) one thousand US dollars ($1,000). Some jurisdictions do not allow the limitations above; in those jurisdictions our liability is limited to the maximum extent permitted.
11. Indemnification
You will indemnify, defend, and hold harmless Meridian and its affiliates, officers, employees, and contractors from any third-party claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) any content or instruction you submit, (c) your violation of these Terms, or (d) your violation of any third-party right, including any intellectual-property or privacy right.
12. Termination
You may stop using the Service at any time and request that we close your organization's account by emailing hello@meridianrewardsgroup.com. We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continuing to provide the Service has become commercially impractical. Sections that by their nature are intended to survive termination — including those covering payment, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Effective" date at the top of this page and, where appropriate, send a notice to your organization's contact email. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or related to these Terms or the Service will be the state or federal courts located in Davidson County, Tennessee, and you and Meridian each consent to the personal jurisdiction of those courts. Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.
